Il Diritto Marittimo, 2025 (3), 389-4170012-348Xhttps://hdl.handle.net/2183/48841[Resumen] La separación negocial que se produce entre la gestión náutica y la gestión comercial del buque, y la consecuente atribución de una y otra a sujetos diversos, no lleva aparejada – como pudiese parecer a primera vista – una absoluta disociación entre ambas funciones, sino que, muy por el contrario, el desarrollo de la gestión náutica constituye un presupuesto básico para desplegar las actividades propias de la gestión comercial. En el trabajo se trata de ofrecer una definición de gestión náutica y gestión comercial y se analizan las imbricaciones jurídicas que se producen entre ambas. Mediante el contrato de fletamento por tiempo se distribuyen entre las partes contractuales, costes y riesgos: el titular de la gestión náutica asume los costes fijos asociados a la navegación así como los riesgos los riesgos técnicos y económicos que afecten a la operativa náutica del buque; mientas que, por su parte, el titular del poder comercial hace suyos – salvo pacto en contrario – aquellos costes y aquellos riesgos asociados al poder de impartir órdenes impartidas en el marco del empleo comercial del buque; lo que no quiere decir que unos y otros riesgos les afectan a los dos de forma absolutamente separada e incomunicable, porque dicha separación no impide que el titular de la gestión náutica haya de desempeñar los poderes propios de su función al servicio de la correcta ejecución de las operaciones ordenadas por el titular de la gestión comercial, en el uso de los poderes propios de su gestión.[Abstract] The separation between the nautical management and commercial management of a vessel, and the resulting assignment of each to different contracting parties, does not imply – as it might seem at first glance – a complete dissociation between the two functions. On the contrary, the development of nautical management is a basic prerequisite for carrying out commercial management activities. This paper seeks to offer a definition of nautical management and commercial management and analyzes the legal interrelationships between the two.
