Abstract
[Resumen] Admitiendo que son múltiples y variadas las formas personificadas (denominación
que se refiere a aquellos supuestos en los que el ente resultante de la agregación
societaria está dotado de personalidad jurídica) que pueden servir como mecanismo al
servicio de la concentración empresarial para alcanzar un objetivo de integración cooperativa,
el trabajo se ocupa exclusivamente del análisis de aquellas formas que presentan
una naturaleza estrictamente cooperativa.
En este sentido, siendo de todas ellas la Cooperativa de segundo grado la más
importante, se centra el estudio en las singularidades que presenta la misma en el
Derecho español, no sólo en la Ley estatal sino también en las diferentes Leyes autonómicas,
respecto de sus socios, de sus órganos sociales, de su régimen económico y,
finalmente, respecto de su transformación y liquidación.
Por último, se hace una breve referencia a las otras formas personificadas de integración
cooperativa, básicamente, a las cooperativas de servicios, en su vertiente
empresarial, y a las cooperativas de integración, reguladas en el artículo 159 de la Ley
de Sociedades Cooperativas Andaluzas.
[Abstract] Undertakings may choose among different ways of cooperation, some reach the status of legal personality; some are mere question of fact. This work focus only in cooperation which reach legal personality. Particularly, we consider cooperative societies as a way to joint resources among different undertakings. As the Cooperative of second grade is the most important of them, this work studies preferently its peculiarities existing under the Spanish Law, not only in State Law also the rules of the different Spanish autonomous regions, in relation to its members, its organs, its economic regime and, finally, its transformation and liquidation. In the end, the work overviews another types of cooperatives that pursue the same goal as the cooperatives of second grade. Basically, the cooperatives to provide services and the so-called cooperatives of integration in article 159 of the Cooperatives Act of Andalusia.
